Our Extended License is easy.

You can use the files you license from EYEIDEA in any number of projects, even if they are for different clients, platforms or companies.  You can make as many copies of your finished project as you need to. Royalty free, forever.

You’re allowed to use our royalty-free elements in any project.  You just can’t resell, license or distribute the original standalone files.

A.i. and Machine Learning
You are not allowed to use images, files, assets, digital media, videos or animations to train generative AI or ML systems. You are also not allowed to simply run EYEIDEA content through AI software to create variations and then sell them as stock media or as a service.

 

You have clearance and a legal license to use any and all of the elements you purchase from EYEIDEA in your projects anywhere in the world. Forever.

Extended License (on all of our products): You may use our licensed content for personal and commercial projects. You may use all these assets as a part of your non-digital or digital designs (posters, t-shirt designs, stickers, web templates). You can also use them in designs/products that you sell. You cannot resell these files directly, or within items/goods where they can be extracted in their original form (like vector shapes, Photoshop® files, layered elements, fonts… – they need to be flattened into background, object or project in your digital item).

EYEIDEA Content License Agreement

IMPORTANT: PLEASE READ THIS DOCUMENT IN ITS ENTIRETY

This License Agreement governs EYEIDEA Content that you Download. By clicking "I agree" or otherwise signifying your acceptance of this Agreement or by using or Downloading any Content, you are agreeing to be legally bound by this Agreement.

This License Agreement (hereinafter, "Agreement") creates a legally binding Agreement between you, as an end user of our services (hereinafter, "End User"), and the following company: EYEIDEA LLC (hereinafter also referred to as, "EYEIDEA"). You will be referred to through second-person pronouns such as "your" and "yours." We, EYEIDEA LLC, will be referred to with pronouns such as "us," "our," and "ours." Collectively, you and EYEIDEA LLC may be referred to as the "Parties" and individually as "Party."

This license governs the use of all of our digital products and content (hereinafter, "content"), specifically:

Photos
Images
Videos
Digital Media
Footage
Animations
Templates
Software

By accessing, downloading, installing, or otherwise using our Content in any way, you agree to be bound by this Agreement in its entirety. If you do not agree, you must cease use of the Content immediately.


ALL MEDIA LICENSE
When you lawfully access the Content, whether through purchase or other lawful means, we grant you, subject to all of the terms and conditions of this Agreement, a non-exclusive, non-transferable, limited, revocable license to use the Content ("License"). This License extends to the use of documentation, data, or information developed by EYEIDEA LLC, and other materials which may assist in your use of the Content. This License may not be transferred to any third parties without express, lawful, written permission from EYEIDEA LLC and this License terminates upon your cessation of use of the Content.

This License shall be applicable to all lawful End Users of the Content, unless a separate written agreement has been executed between you and EYEIDEA LLC


LICENSE FEE
The License is provided for a fee, in conjunction with the purchase of the Content.  Such fee will be displayed to you prior to your purchase of the Content.


RESTRICTIONS
The License provided hereunder is subject to the following additional restrictions:

  • You may NOT make the Licensed Content available in a manner that is likely to allow or invite a third party to download, extract, redistribute, or access the Licensed Content as a standalone file. If the Licensed Content will be displayed on a website, You must post terms and conditions on the website that prohibit downloading, republication, retransmission, reproduction, and all other uses of the Licensed Content as a standalone file.
  • You may NOT upload, use, or display the Licensed Content on any medium which is designed to induce or involves the sale, license, or other distribution of "On Demand Products". On Demand Products are products in which the Licensed Content is selected by a third party for customization on products which are produced on a made-to-order basis, including, without limitation, greeting cards, mouse pads, t-shirts, calendars, posters, canvas prints, screensavers, wallpapers, and similar products.
  • You may NOT falsely represent, expressly or implied, that You are the original creator of the Licensed Content or of a work that is based substantially on the Licensed Content.
  • You may NOT incorporate the Licensed Content into a logo, corporate ID, trademark, or service mark.
  • You may NOT sell, sub-license, transfer, share, assign or otherwise redistribute any Content in a manner that is competitive with EYEIDEA LLC
  • If the Licensed Content contains the likeness of an individual or individuals who may be identified, You may NOT manipulate the Content in a manner that would portray the individuals in an unflattering manner.
  • You may NOT use the Licensed Content in a pornographic, defamatory, or otherwise unlawful manner.


ADDITIONAL TERMS
Additional terms may be applicable to the Parties' relationship with each other, such as EYEIDEA LLC Terms & Conditions or Terms of Use, EYEIDEA LLC Privacy Policy, and any other such written agreements governing your relationship with us. Nothing contained herein is intended to restrict the terms of any other written agreement. Instead, all relevant documents shall be construed as broadly as possible.

INTELLECTUAL PROPERTY
You agree that the Content, EYEIDEA LLC website and all services provided by EYEIDEA LLC are the property of EYEIDEA LLC, including all copyrights, trademarks, trade secrets, patents, and other intellectual property ("EYEIDEA LLC IP"). You agree that EYEIDEA LLC owns all right, title and interest in and to EYEIDEA LLC IP and that you will not use EYEIDEA LLC IP for any unlawful or infringing purpose. You agree not to reproduce or distribute EYEIDEA LLC IP in any way, including electronically or via registration of any new trademarks, trade names, service marks or Uniform Resource Locators (URLs), without express written permission from EYEIDEA LLC


ACCEPTABLE USE
You agree not to use the Content for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Content in any way that could damage EYEIDEA LLC website, services, or general business of EYEIDEA LLC

You further agree not to use the Licensed Content:

  • To harass, abuse, or threaten others or otherwise violate any person's legal rights;
  • To violate any intellectual property rights of EYEIDEA LLC or any third party;
  • To upload or otherwise disseminate any computer viruses or other content that may damage the property of another;
  • To perpetrate any fraud;
  • To engage in or create any unlawful gambling, sweepstakes, or pyramid scheme;
  • To publish or distribute any obscene or defamatory material;
  • To publish or distribute any material that incites violence, hate, or discrimination towards any group;
  • To unlawfully gather information about others.


REVERSE ENGINEERING & SECURITY
You agree not to undertake any of the following actions:

a) Reverse engineer, or attempt to reverse engineer or disassemble the Content or any code within or related to the Content or EYEIDEA LLC website;

b) Violate the security of the Content through any unauthorized access, circumvention of encryption or other security tools, data mining or interference to any host, user or network;

c) Copy or otherwise distribute copies of the Content unlawfully, such as through any peer-to-peer network or other intellectual property circumvention tool.


INDEMNIFICATION
You agree to defend and indemnify EYEIDEA LLC and any of its affiliates (if applicable) and hold us harmless against any and all legal claims and demands, including reasonable attorney's fees, which may arise from or relate to your use or misuse of the Content, your breach of this Agreement, or your conduct or actions. You agree that EYEIDEA LLC shall be able to select its own legal counsel and may participate in its own defense, if EYEIDEA LLC wishes.


SPAM POLICY
You are strictly prohibited from using the Content or any of EYEIDEA LLC's services for illegal spam activities, including gathering email addresses and personal information from others or sending any mass commercial emails.


SERVICE INTERRUPTIONS
EYEIDEA LLC may need to interrupt access to the Content to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Content may be affected by unanticipated or unscheduled downtime, for any reason, but that EYEIDEA LLC shall have no liability for any damage or loss caused as a result of such downtime.


NO WARRANTIES
You agree that your use of the Content is at your sole and exclusive risk and that the Content is provided on "As Is" basis. EYEIDEA LLC hereby expressly disclaims any and all express or implied warranties of any kind, including, but not limited to the implied warranty of fitness for a particular purpose and the implied warranty of merchantability. EYEIDEA LLC makes no warranties that the Content will meet your needs or that access to the Content will be uninterrupted or error-free. EYEIDEA LLC also makes no warranties as to the reliability or accuracy of any information contained within the Content. You agree that any damage that may occur to you, through your computer system, or as a result of loss of your data from your use of the Content is your sole responsibility and that EYEIDEA LLC is not liable for any such damage or loss.


LIMITATION ON LIABILITY
EYEIDEA LLC is not liable for any damages that may occur to you as a result of your use of the Content, to the fullest extent permitted by law. The maximum liability of EYEIDEA LLC arising from or relating to this Agreement is limited to the greater of one hundred ($100) US Dollars or the amount you paid to EYEIDEA LLC in the last six (6) months. This section applies to any and all claims by you, including, but not limited to, lost profits or revenues, consequential or punitive damages, negligence, strict liability, fraud, or torts of any kind.


DISPUTE RESOLUTION & GOVERNING LAW
All disputes will be resolved as provided for in the Terms & Conditions of Service. Should EYEIDEA LLC not have a live version of any Terms document or any other provisions in any user-facing document covering dispute resolution and governing law, the laws of California shall govern any matter or dispute relating to or arising from this Digital License or EYEIDEA LLC's relationship with End User.


ASSIGNMENT
This Agreement, or the rights granted hereunder, may not be assigned, sold, leased or otherwise transferred in whole or part by you. Should this Agreement, or the rights granted hereunder, by assigned, sold, leased or otherwise transferred by EYEIDEA LLC, the rights and liabilities of EYEIDEA LLC will bind and inure to any assignees, administrators, successors, and executors.


HEADINGS FOR CONVENIENCE ONLY
Headings of parts and sub-parts under this Agreement are for convenience and organization, only. Headings shall not affect the meaning of any provisions of this Agreement.


NO AGENCY, PARTNERSHIP OR JOINT VENTURE
No agency, partnership, or joint venture has been created between the Parties as a result of this Agreement. No Party has any authority to bind the other to third parties.


FORCE MAJEURE
EYEIDEA LLC is not liable for any failure to perform due to causes beyond its reasonable control including, but not limited to, acts of God, acts of civil authorities, acts of military authorities, riots, embargoes, acts of nature and natural disasters, and other acts which may be due to unforeseen circumstances.


ELECTRONIC COMMUNICATIONS PERMITTED

All content that was formerly owned by EYEIDEA, INC. is now the complete and fully owned property of EYEIDEA, LLC.
